1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “User”) and Career Cortex LLC (“Career Cortex,” “we,” “us,” or “our”), governing your access to and use of the Career Cortex web application at www.careercortex.com (the “Platform”), the Career Cortex Job Extractor browser extension (the “Extension”), and all related services (collectively, the “Services”).

By creating an account, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our Services.

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the “Last Updated” date and, for significant changes, by sending notice to the email address associated with your account. Your continued use of the Services after such modifications constitutes your acceptance of the updated Terms.

2. Eligibility

You must be at least 18 years of age to use our Services. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account Registration and Security

To access certain features of the Services, you must create an account. When creating your account, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate and current
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately at support@careercortex.com if you suspect unauthorized access to your account

We reserve the right to suspend or terminate your account if any information provided is found to be inaccurate, fraudulent, or in violation of these Terms.

4. Description of Services

Career Cortex provides an AI-powered career development platform that offers tools and guidance to assist users with their job search and career preparation. Our Services include:

• Resume Upload and Parsing: You may upload resumes which are parsed and analyzed with the assistance of third-party AI services to extract and structure your professional information.
• Resume Scoring: AI-assisted analysis that evaluates your resume and provides scores and feedback across various criteria.
• Resume Building: In-app tools that allow you to create resumes from scratch within the Platform.
• ATS Optimization: AI-assisted recommendations to help optimize your resume for applicant tracking systems.
• Job-Targeted Optimization: AI-assisted analysis that compares your resume against a specific job description and suggests tailored improvements.
• Cover Letter Generation: AI-assisted tools to help you draft and refine cover letters based on your resume and target job descriptions.
• Job Tracking: Tools to store job descriptions, track application statuses, and manage your job search.
• Mock Interviews: AI-powered simulated interview sessions with scoring and feedback based on your target roles.

5.1 Career Cortex Is a Guidance Tool

Career Cortex is a career development guidance tool. Our Services are designed to assist and support you in your job search and career preparation efforts. We provide AI-generated suggestions, scores, optimizations, and content as recommendations for your consideration.

You retain full control over all decisions. Every AI-generated suggestion, optimization, score, cover letter draft, or piece of feedback presented through the Platform is a recommendation only. You have the sole ability — and responsibility — to review, approve, modify, or reject any AI-generated output before using it in your job search or career activities.

5.2 No Guarantee of Employment Outcomes

Career Cortex makes no guarantees, representations, or warranties regarding employment outcomes. Specifically, we do not guarantee and cannot promise that use of our Services will result in:

• Obtaining a job, employment, or job offer of any kind
• Receiving an interview, callback, or response from any employer
• Passing any applicant tracking system (ATS) screening
• Improved resume rankings, visibility, or placement in any hiring process
• Any particular score, ranking, or outcome in any employer's evaluation process
• Career advancement, promotion, salary increase, or any other professional outcome

Employment decisions are made by employers based on a wide range of factors beyond the scope and control of our Services, including but not limited to market conditions, employer preferences, candidate qualifications, interview performance, background checks, and other considerations.

5.3 AI-Generated Content Limitations

Our Services utilize third-party AI technologies to generate suggestions, optimizations, scores, and content. You acknowledge and agree that:

• AI-generated content may contain errors, inaccuracies, or suggestions that are not appropriate for your specific situation
• Resume scores, ratings, and analyses are algorithmic assessments and do not reflect how any specific employer, recruiter, or ATS will evaluate your materials
• AI-generated cover letters, optimization suggestions, and interview feedback are starting points that require your review, judgment, and customization
• You are solely responsible for reviewing all AI-generated content for accuracy, appropriateness, and truthfulness before using it
• You must not include false, misleading, or inaccurate information in any resume, cover letter, or other professional document, regardless of whether such information was suggested by our AI tools
• AI models and their outputs may change over time, and results may vary between sessions

5.4 Not Professional Advice

The Services do not constitute professional career counseling, employment advice, legal advice, or any other form of professional advice. Our AI-generated suggestions and tools should not be relied upon as a substitute for professional career counseling or guidance from qualified human advisors. If you require professional career advice, we encourage you to consult with a certified career counselor or other qualified professional.

6. User Content and Ownership

6.1 Your Content

You retain ownership of all content you submit to the Platform, including resumes, cover letters, job descriptions, interview responses, and any other materials you upload or create (“User Content”). By submitting User Content, you grant Career Cortex a limited, non-exclusive, non-transferable license to use, process, store, and transmit your User Content solely for the purpose of providing and improving the Services.

6.2 Accuracy of Your Content

You represent and warrant that all User Content you submit is accurate, truthful, and does not infringe upon the intellectual property rights or other rights of any third party. You are solely responsible for the content of your resumes, cover letters, and other professional documents, including any modifications made based on AI-generated suggestions.

6.3 AI-Generated Output

Content generated by our AI tools based on your User Content (such as optimized resumes, cover letter drafts, scores, and feedback) is provided to you for your personal use in connection with your career activities. You may use, modify, and distribute such output as part of your job search materials. Career Cortex does not claim ownership over AI-generated output that is derived from your User Content.

6.4 Feedback

If you provide feedback, suggestions, or ideas about our Services (“Feedback”), you grant Career Cortex a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into our Services without obligation to you.

7. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Services for any illegal, fraudulent, or unauthorized purpose
• Submit false, misleading, or fabricated information through the Platform
• Attempt to gain unauthorized access to our systems, other users' accounts, or any related networks
• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, underlying algorithms, or proprietary methods of the Platform
• Use automated scripts, bots, scrapers, or other automated means to access the Services without our express written permission
• Circumvent, disable, or otherwise interfere with security-related features of the Platform
• Use the Services to develop a competing product or service
• Resell, redistribute, sublicense, or commercially exploit the Services or any content generated by the Services without our express written permission
• Upload content that contains malware, viruses, or other harmful code
• Harass, abuse, or harm another person or entity through your use of the Services
• Use the Services in any manner that could damage, disable, overburden, or impair the Platform
• Intentionally misrepresent AI-generated content as human-authored in contexts where such disclosure is required by law or professional standards

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates these provisions, including suspending or terminating the violator's account and reporting such conduct to law enforcement authorities.

8. Subscription Plans and Payment

8.1 Free and Paid Plans

Career Cortex may offer both free and paid subscription plans. Free plans may have limitations on features, usage, or storage. Paid plans unlock additional features and higher usage limits as described on our pricing page at the time of purchase.

8.2 Billing and Payment

If you subscribe to a paid plan, you agree to pay all fees associated with your selected plan. Payments are processed through our third-party payment processor. By providing payment information, you represent that you are authorized to use the payment method and authorize us to charge the applicable fees.

• Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your selected plan)
• All fees are stated in U.S. dollars unless otherwise indicated
• Applicable taxes may be added to your subscription fees as required by law

8.3 Automatic Renewal

Paid subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period, and you will retain access to paid features until that period ends.

8.4 Refunds

All fees are non-refundable. We do not offer partial, prorated, or full refunds for any unused portion of a subscription period. Because you retain full access to paid features through the end of your billing period after cancellation, no refund is necessary or provided. 8.5 Price Changes

We reserve the right to modify our pricing at any time. Price changes for existing subscribers will take effect at the start of the next billing period following notice of the change. We will provide at least 30 days' notice before any price increase takes effect.

9. Intellectual Property

9.1 Our Intellectual Property

The Platform, including its design, features, functionality, code, algorithms, text, graphics, logos, trademarks, and all other content and materials provided by Career Cortex (excluding User Content), are owned by or licensed to Career Cortex and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. These Terms do not grant you any right, title, or interest in our intellectual property except for the limited right to use the Services as described herein.

9.2 Trademarks

“Career Cortex,” the Career Cortex logo, and related marks are trademarks of Career Cortex LLC. You may not use our trademarks without our prior written consent.

10. Third-Party Services

Our Services integrate with and rely upon various third-party services, including AI processing providers, authentication providers, payment processors, cloud hosting providers, and email delivery services. Your use of the Platform may be subject to the terms and policies of these third-party providers.

We are not responsible for the availability, accuracy, or content of any third-party services, and we do not endorse or assume liability for any third-party products, services, or content. Third-party service interruptions or changes may temporarily affect the availability or functionality of our Services.

11. Career Cortex Job Extractor — Browser Extension

The Career Cortex Job Extractor browser extension is provided as a supplementary tool to help you extract job posting information from supported job sites. By installing and using the Extension, you agree to the following additional terms:

• The Extension operates entirely within your browser and does not transmit data to Career Cortex or any third party
• You are responsible for complying with the terms of service of any website from which you extract job posting information
• The Extension is provided “as is” and may not function correctly on all websites, browsers, or pages due to variations in website structure
• Career Cortex is not responsible for any inaccuracies in data extracted by the Extension
• The Extension is intended for personal use in your job search activities only

12. Data Retention and Account Deletion

12.1 Your Data

We retain your data as described in our Privacy Policy. You may delete individual resumes, cover letters, job descriptions, and other content at any time through the Platform. Deleted items are soft-deleted and retained for up to 30 days before permanent removal, as described in our Privacy Policy.

12.2 Account Deletion

You may delete your account at any time through your account settings or by contacting us at support@careercortex.com. Upon account deletion, all data associated with your account — including all resumes, cover letters, job descriptions, interview data, AI analysis results, and any soft-deleted items — is permanently deleted immediately. This action is irreversible.

12.3 Effect of Termination

Upon termination of your account (whether by you or by us), your right to access and use the Services ceases immediately. Any outstanding payment obligations survive termination. Sections of these Terms that by their nature should survive termination (including disclaimers, limitations of liability, indemnification, and governing law) will continue in effect.

13. Disclaimer of Warranties

Without limiting the foregoing, Career Cortex makes no warranty or representation that:

• The Services will meet your requirements or expectations
• The Services will be uninterrupted, timely, secure, or error-free
• Results obtained from the Services (including AI-generated scores, optimizations, cover letters, and interview feedback) will be accurate, reliable, or suitable for any particular purpose
• Any defects or errors in the Services will be corrected
• The Services will be compatible with any particular software, hardware, or system
• The Services will produce any specific employment outcome, including but not limited to job interviews, job offers, or employment

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CAREER CORTEX LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, business opportunities, or goodwill
• Failure to obtain employment, interviews, or any career-related outcome
• Costs of procurement of substitute services
• Any damages arising from your reliance on AI-generated content, scores, or recommendations
• Any damages arising from unauthorized access to or alteration of your data
• Any other intangible losses

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF CAREER CORTEX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CAREER CORTEX'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO CAREER CORTEX IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) FIFTY U.S. DOLLARS ($50.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

15. Indemnification

You agree to indemnify, defend, and hold harmless Career Cortex LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party right, including intellectual property, privacy, or other proprietary rights
• Any User Content you submit through the Services
• Your use of AI-generated content in your professional activities, including any claims arising from inaccuracies in such content
• Any claim by a third party related to your resumes, cover letters, or other materials created or modified using the Services

16. Dispute Resolution

16.1 Informal Resolution

Before initiating any formal legal proceeding, you agree to first contact us at support@careercortex.com and attempt to resolve the dispute informally for at least 30 days. Most disputes can be resolved through good-faith communication.

16.2 Binding Arbitration

If we are unable to resolve a dispute informally, you and Career Cortex agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, rather than in court. Arbitration shall take place in the State of Ohio or, at your election, may be conducted online or by telephone.

The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. You and Career Cortex each waive the right to a jury trial.

16.3 Class Action Waiver

YOU AND CAREER CORTEX AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

16.4 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights. Additionally, claims within the jurisdiction of small claims court may be brought in such court.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to its conflict of law provisions. To the extent that arbitration does not apply, you consent to the exclusive jurisdiction of the state and federal courts located in Franklin County, Ohio.

18. Service Availability and Modifications

18.1 Availability

We strive to maintain the availability of our Services but do not guarantee uninterrupted access. The Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime when possible.

18.2 Modifications to Services

We reserve the right to modify, update, or discontinue any feature or aspect of the Services at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Services, provided that if we discontinue a paid feature, we will provide a pro-rata refund for the unused portion of your current billing period.

19. Termination and Suspension

We may suspend or terminate your access to the Services at any time, with or without cause and with or without notice, including if we reasonably believe that:

• You have violated these Terms or any applicable law
• Your account has been involved in fraudulent or illegal activity
• Continued provision of the Services to you poses a risk to us, our systems, or other users

If we terminate your account for cause, you are not entitled to a refund of any prepaid fees. If we terminate your account without cause, we will provide a pro-rata refund for the unused portion of your current billing period.

20. General Provisions

20.1 Entire Agreement

These Terms, together with our Privacy Policy, Disclaimer, Refund & Cancellation Policy, Accessibility Statement, and Security & Data Protection Statement, and any other policies referenced herein, constitute the entire agreement between you and Career Cortex regarding your use of the Services and supersede all prior agreements and understandings.

20.2 Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

20.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms shall be effective only if in writing and signed by Career Cortex.

20.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

20.5 Force Majeure

Career Cortex shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, labor disputes, government actions, Internet or telecommunications failures, or third-party service provider outages.

We may provide notices to you via the email address associated with your account or through the Platform. You may provide notices to us by emailing support@careercortex.com. Notices are deemed received when sent via email or when posted on the Platform.
